-1 - OBJECT

The General conditions of sale described below detail the rights and obligations of the small entrepreneur Clément CHOUVENC and his client in connection with the sale of the following services:
• code APE 9609: "other personal services.
Any benefit achieved by the small entrepreneur Clément CHOUVENC on behalf of a client involves so that client became aware of these general conditions of sale and it adheres unreservedly to these same conditions. Thus, the customer waives any application of any general purchase conditions.

2 - PRICE

Any service ordered by a client to the small entrepreneur Clément CHOUVENC is caused by the same client, including in the case of cancellation by the client prior to execution of the work.
The price of the implemented services are mentioned quote accepted and signed by the customer during the period of validity of the quote (validity of 30 days from its date of issue). If no quote has been established, or if the established quotation was an estimated (mention on the quote), executed services prices are agreed with the client and mentioned on the invoice corresponding to the performed delivery.
The prices are denominated in euro and calculated tax. They are not increased by the VAT rate, the status of self-contractor involving a franchise of VAT under article 293 B of the CGI.

-3 TERMS OF PAYMENT

The benefits shall be settled no later than the last day of the deadline of payment mentioned on the invoice (or, in the absence of reference in the thirtieth day following the date of execution of the requested performance (article L.144 - 6 of the French commercial code).)
For payments by cheque, bank transfer or employment-service cheque, delivery of benefits held in the cashing of the bank account of the small entrepreneur Clément CHOUVENC regulations.
Payment may be made:
The small entrepreneur Clément CHOUVENC reserves the right to claim from the client a down payment of the total invoice (excluding discounts) pre-tax before the performance of the. a prepayment invoice will be then delivered to the customer. Delivery cannot be performed if the client has not previously paid to the small entrepreneur Clément CHOUVENC deposit which has been requested.

-4 - DISCOUNT

No discount will be granted in the event of advance payment.

-5 - DISCOUNTS

Discounts may be granted by the small entrepreneur Clément CHOUVENC. Discount is mentioned as a percentage of the total of the invoice and shall be deducted from this total.

-6 - LATE PAYMENT

So, the first day following the due date of payment mentioned on the invoice, the customer is not paid the sums remaining due to this same invoice, it must pay a penalty of delay daily of a rate equal to the ECB's refinancing rate, plus points to the small entrepreneur Clément CHOUVENC.
The rate of the penalty is calculated on the basis of the rate of refinancing of the ECB, plus the number of 4 points set by the ECB, in force at the date of issue of the invoice. The rate of the penalty is mentioned on the invoice.
This daily penalty is calculated on the remaining net pay amount due, and runs from the first day following the payment due date mentioned on the invoice without the need for prior notice.

-7 - DAMAGES

If, within fifteen days following implementation of the No. 6 'delay of payment' clause, the customer is not discharged sums remaining due, this will open right to the allocation of damages in favour of the small entrepreneur Clément CHOUVENC.

-8 - DELIVERY

Delivery is made at the place chosen by the client. Travel expenses incurred will be charged to the client and mentioned on the quote and invoice in euros.

-9 - FORCE MAJEURE

The responsibility of the small entrepreneur Clément CHOUVENCS will not be able to be implemented if the failure or delay in execution of the service ordered or of one of the obligations described in the present general conditions of sale stems from a case of force majeure. As such, force majeure means any external, unforeseeable and uncontrollable event within the meaning of article 1148 of the civil code.
Thus, the small entrepreneur Clément CHOUVENC is not responsible for, including accident, fire, flood, interruption of the supply of energy, raw materials or equipment, as well as in the event of strikes or partial of any kind affecting the smooth running of the activities of the small entrepreneur Clément CHOUVENC, such as strikes of transport, postal services, of providers in energy, telecommunications, etc.
The occurrence of a case of force majeure has the effect of suspending the execution by the small entrepreneur Clément CHOUVENC of the contractual obligations of quotation, the command or the present general conditions of sale.

-10 - JURISDICTION CLAUSE

Any dispute relating to the interpretation and execution of these general conditions of sale is subject to french law. Failing amicable resolution, the dispute will be increased before the commercial court of THONON LES BAINS (74) - except in the case of a dispute with an individual, in which case the issue will be increased before the civil court or the Court of trade according to the origin of the dispute.
